OEA Flickr™ Groups Terms of Use

PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS.

Welcome to OEA Groups on Flickr.com. Flickr™ (“Flickr” or the “Service”) is an online photo management and sharing application that allows you to share your content with other people and organize your photos and videos in a number of ways. OEA provides Flickr groups as a service to members subject to the following Terms of Use ("Terms of Use" or “Agreement), which may be updated by us from time to time without notice to you. You can review the most current version of the Agreement at any time at: www.ohea.org/oea_flickr_terms_of_service. In addition, when using particular OEA owned or operated services, such as OEA groups in Flickr, you and OEA shall be subject to Flickr’s Terms of Service, which are available online at http://www.flickr.com/terms.gne, and they may also be updated from time to time without notice.

By accessing or using OEA Groups (the "Site") or by posting a photo on the Site, you (the "User") signify that you have read, understand and agree to be bound by these Terms of Use. OEA reserves the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. If we do this, we will post the changes to these Terms of Use on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the Service or the Site after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use or access (or continue to use or access) the Service or the Site. It is your responsibility to regularly check the Site to determine if there have been changes to these Terms of Use and to review such changes.

1. REGISTRATION DATA AND ACCOUNT SECURITY
In consideration of your use of the Site, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site ("Registration Data"); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to Flickr, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account. You will receive a password and account designation upon completing the Flickr.com registration process. You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Flickr of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. OEA cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

2. OEA PRIVACY POLICY
Registration Data and certain other information about you are subject to our Privacy Policy. For more information, see our full privacy policy at www.ohea.org/privacy. You understand that through your use of the Service you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information for storage, and use by OEA and its affiliates.

3. ELIGIBILITY
OEA Groups are intended solely for active OEA members who are eighteen (18) years of age or older. Any registration by, use of or access to the Site by anyone who not an active OEA member and under 18 is unauthorized, unlicensed and in violation of these Terms of Use. By using the Site, you represent and warrant that you are an active OEA member and that you are 18 or older, and that you agree to and to abide by all of the terms and conditions of this Agreement.

4. ACCEPTABLE CONTENT
Please be aware that OEA Terms of Use forbid any images that contain adult or mature content. Also forbidden are photos that include any other persons without the written consent of each party included in the photo. In particular, you are responsible for obtaining and proving that you have the written permission from parents for each and every child included in your photo.

5. INDEMNITY
You agree to indemnify and hold OEA and its affiliates, officers, agents, employees, partners and contractors harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorneys' fees, arising out of or in connection with any User Content, any Third Party Applications, Software or Content you post or share on or through the Site, your use of the Service or the Site, your conduct in connection to the Service or the Site or with other users of the Service or the Site, or any violation of this Agreement or of any law or the rights of any third party.
FLICKR AND OEA DO NOT PRE-SCREEN OR APPROVE THE CONTENT ON FLICKR PAGES OR OEA GROUPS, AND CANNOT GUARANTEE THAT A FLICKR PAGE WAS ACTUALLY CREATED AND IS BEING OPERATED BY THE INDIVIDUAL OR ENTITY THAT IS THE SUBJECT OF A FLICKR PAGE. NOR IS FLICKR OR OEA RESPONSIBLE FOR THE CONTENT ON ANY FLICKR PAGE OR ON OEA GROUPS, OR ANY TRANSACTIONS ENTERED INTO OR OTHER ACTIONS TAKEN ON OR IN CONNECTION WITH ANY PAGE, INCLUDING HOW THE OWNER OF THE FLICKR PAGE COLLECTS, HANDLES, USES AND / OR SHARES ANY PERSONAL INFORMATION IT MAY COLLECT FROM USERS (PLEASE REVIEW THE FLICKR PRIVACY POLICY IF YOU HAVE ANY QUESTIONS OR CONCERNS REGARDING THE USE OR SHARING OF YOUR PERSONAL INFORMATION). YOU SHOULD BE CAREFUL BEFORE PROVIDING ANY PERSONAL INFORMATION TO OR ENTERING INTO ANY TRANSACTION IN CONNECTION WITH A FLICKR PAGE.

5. USER CONDUCT
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not OEA, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the OEA Flickr Group. OEA does not control the Content posted via Flickr and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will OEA be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via Flickr.
You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material.

In addition, you agree to not use Flickr or OEA Groups to:

  1. harvest or collect email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
  2. upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  3. harm minors in any way;
  4. impersonate any person or entity, including, but not limited to, an OEA official, a local leader, an OEA member, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  5. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
  6. upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  7. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
  8. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation on the Site;
  9. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt,  destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  10. disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
  11. interfere with or disrupt the Service or servers or networks connected to the Service,  or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
  12. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S.  Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
  13. provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s)  designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
  14. "stalk" or otherwise harass another; and/or collect or store personal data about other users in connection with the prohibited
  15. conduct any activities set forth in paragraphs 1 through 15 above.

You acknowledge that OEA may or may not pre-screen Content, but that OEA and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any Content that is available via the Service. Without limiting the foregoing, OEA and its designees shall have the right to remove any Content that violates the Agreement or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by OEA or submitted to OEA, including without limitation information in OEA Message Boards and in all other parts of the Site.

You acknowledge, consent and agree that OEA may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Agreement; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of OEA, its members and the public.

You understand that the technical processing and transmission of the Service,
